Terms of Use

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the HappeeAntz Affiliate Program (“Program”). By registering as an Affiliate, you (“Affiliate,” “you,” or “your”) agree to comply with and be bound by the terms outlined below. If you do not agree with these terms, you may not participate in the Program.

1. Enrollment in the Program

1.1 Eligibility

To participate, you must be at least 18 years of age and possess full legal capacity to enter into this Agreement.

1.2 Registration Information

When registering for the Program, you must provide accurate and complete information, including:
  • Username
  • First and Last Name
  • Account Email Address
  • Password
  • Social Media Links (TikTok, Facebook, YouTube, Instagram, and X/Twitter)
  • Description of how you plan to promote HappeeAntz
You agree to keep all information up to date and accurate. Providing false, misleading, or incomplete information may result in immediate termination from the Program.

1.3 Approval and Rejection

All affiliate applications are subject to manual review and approval by HappeeAntz. We reserve the right to accept or reject any application at our sole discretion without providing a reason.

2. Affiliate Responsibilities

2.1 Promotion Standards

You agree to promote HappeeAntz in a lawful, honest, and ethical manner. You may not:
  • Engage in deceptive, misleading, or spam-based advertising.
  • Use HappeeAntz’s name, trademarks, or branding in any way that implies partnership beyond the Program.
  • Use paid ads that bid on “HappeeAntz” or similar branded terms.
  • Post any false, defamatory, or offensive content related to HappeeAntz.

2.2 Prohibited Activities

You may not:
  • Misrepresent HappeeAntz’s products, services, or pricing.
  • Offer unauthorized discounts or incentives.
  • Use your affiliate link for personal purchases or fraudulent transactions.
  • Engage in any activity that violates applicable local, state, or international laws.

2.3 Affiliate Conduct

All promotions must comply with the terms of service of your chosen platforms (e.g., TikTok, Facebook, YouTube, Instagram, X/Twitter). You are solely responsible for ensuring your promotional content does not violate any third-party policies.

3. Commission Structure

3.1 Commission Tiers

Affiliates are eligible for commissions based on the number of successful subscription orders referred through their unique affiliate link.
  • Tier 1: Default rate of 20% commission on each completed subscription order.
  • Tier 2: 25% commission after achieving 50 completed subscription referrals.
  • Tier 3: 30% commission after achieving 100 completed subscription referrals.

3.2 Tier Review and Upgrade

Tier upgrades are reviewed manually by the HappeeAntz team on a monthly basis. Affiliates will be notified via email if their tier has been updated.

3.3 Commission Eligibility

A commission is considered valid only when:
  • The referred customer completes payment for their subscription.
  • The subscription remains active beyond the refund period.
  • The order is not fraudulent, cancelled, or refunded.

3.4 Commission Payouts

Commissions are paid monthly, within 15 days following the end of each month, subject to a minimum payout threshold (if applicable). Payments are made via the bank details provided by the affiliate under the “My Bank Details” section of their affiliate portal.

3.5 Refunds and Chargebacks

If a referred customer requests a refund or issues a chargeback, the related commission will be deducted from the affiliate’s future earnings.

4. Termination and Suspension

4.1 Termination by Affiliate

You may terminate your participation in the Program at any time by notifying HappeeAntz in writing.

4.2 Termination by HappeeAntz

HappeeAntz reserves the right to suspend or terminate your affiliate account immediately and without notice if:
  • You violate these Terms.
  • You engage in unethical or illegal marketing activities.
  • You provide false or misleading information.
  • Your account remains inactive for more than six (6) months.

4.3 Effect of Termination

Upon termination, you will lose access to your affiliate dashboard, links, and any pending unpaid commissions. Commissions accrued prior to termination that meet the eligibility criteria may be paid at HappeeAntz’s discretion.

5. Intellectual Property

You are granted a limited, non-exclusive, revocable license to use HappeeAntz’s name and branding materials solely for the purpose of promoting the Program. All rights, titles, and interests in HappeeAntz’s trademarks, logos, and content remain the exclusive property of HappeeAntz.

6. Confidentiality

You agree not to disclose or share any confidential or proprietary information obtained through the Program, including internal policies, earnings data, customer information, or system access credentials.

7. Limitation of Liability

HappeeAntz shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the Program. Our total liability under this Agreement shall not exceed the total commissions paid to you during the six (6) months preceding the claim.

8. Independent Contractor Status

You acknowledge that you are an independent contractor, not an employee, partner, or agent of HappeeAntz. You are responsible for your own taxes, insurance, and compliance with local regulations.

9. Modification of Terms

HappeeAntz reserves the right to update, modify, or replace these Terms at any time. Any changes will be communicated via email or posted on the affiliate portal. Continued participation after such notice constitutes acceptance of the updated terms.

10. Acceptance

By submitting your registration and participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in full.
