Terms of Use (Employer)

Parties:
This Terms of Use Agreement (“Agreement”) is entered into between Happee Antz Job Portal, owned and operated by HAPPEE ANTZ WEB PORTAL SERVICES, with principal office located at 3rd Floor Parallax Building, Paradahan 1, Tanza, Cavite 4108. (“Happee Antz,” “we,” “our,” or “us”), and the Employer/User (“Employer,” “you,” or “your”) who registers and uses the Platform for posting job listings, sourcing candidates, or engaging recruitment-related services with an office address registered upon account creation.
1. Acceptance of Terms
By creating an employer account or using the Happee Antz Job Platform, you confirm that you have read, understood, and agreed to comply with these Terms of Use. You represent that you have the legal authority to bind the company or entity you represent to this Agreement. If you do not agree with any part of these terms, you must refrain from using the Platform.
2. Disclaimers
Happee Antz provides its platform, tools, and related services on an “as is” and “as available” basis. While the platform is designed to facilitate recruitment and job matching, Happee Antz does not guarantee the availability, accuracy, reliability, or timeliness of any content, data, or information provided through the platform.
The Employer acknowledges and agrees that:
- Happee Antz is not an employer, recruiter, employment agency, or labor contractor, and therefore does not participate in or influence the hiring decisions made by Employers.
- The platform merely acts as an intermediary connecting job seekers and employers and does not represent or warrant that any job posting will result in applications, interviews, or successful hires.
- Happee Antz does not endorse or verify the accuracy, skills, or credentials of job seekers beyond the scope of document verification, nor does it perform background checks unless expressly stated in a separate written agreement.
- Happee Antz shall not be held liable for any misrepresentation, omission, fraud, or breach of agreement committed by either job seekers or employers using the platform.
- Temporary interruptions, technical issues, or maintenance activities may occur from time to time. While reasonable efforts are made to minimize such disruptions, Happee Antz does not warrant uninterrupted or error-free operation of the platform.
- All communications, negotiations, and employment contracts between employers and job seekers are conducted independently of Happee Antz. The company bears no responsibility for disputes, employment conditions, or post-hiring relations between the parties.
- To the maximum extent permitted by law, Happee Antz disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Employers use the platform and its services at their own discretion and risk.
3. Account Registration and Verification
Employers are required to:
- Provide complete and accurate company information during registration.
- Submit valid business verification documents (e.g., DTI/SEC registration, business permit, or tax identification).
- Complete the account verification process within 24 hours upon submission of all required documents.
Happee Antz reserves the right to approve, reject, or suspend any employer account that fails verification or is suspected of fraudulent activity.
4. PRICING AND PAYMENTS
All job postings are subject to review and approval by Happee Antz to ensure compliance with platform standards and Philippine labor laws.
- Job listings must be clear, truthful, and free from misleading information.
- Posts promoting illegal, discriminatory, or deceptive employment practices are strictly prohibited.
- Happee Antz reserves the right to modify, reject, or remove any posting at its sole discretion.
- Job postings are reviewed within 24 hours of submission.
5. Hiring and Billing Policy
- Free Account Access:
Employers may create an account and post job openings on the Platform at no cost. Free access includes the ability to explore applicants, review job applications, and schedule interviews without any initial fees.
- Free Hires:
Employers are entitled to a limited number of free hires based on the type of position:
- Up to three (3) free hires are available for general workforce positions, including Blue Collar, Pink Collar, White Collar, BPO Rank & File, and Healthcare (non-executive or non-title roles); or
- One (1) free hire is available for specialized or executive-level positions, including Managerial Roles, Remote/Onsite Roles (General VA, Executive VA, SMM, White Collar, Med VA, Web Dev, IT Support, AI, Title, and Director-Level Roles), and Healthcare Title Roles (Director of Nursing, Chief Nursing Officer, Medical Director, Chief Medical Officer, Pharmacy Manager, COO – Healthcare, CEO – Hospital/Healthcare Group).
Please note that once a free hire is used for any specialized or executive-level position, additional free hires for other categories will no longer apply.
- Billable Hires:
Billing applies after the allotted free hires have been fully utilized. From the next hire onward (starting with the 4th hire or after the first specialized/executive hire), the Employer will be charged according to the current pricing plan applicable to the position type. Rates are based on either:
- The standard Job Posting pricing plan,
- The Recruitment Process Outsourcing (RPO) rate, or
- A negotiated pricing plan mutually agreed upon between the Employer and Happee Antz.
Happee Antz reserves the right to update its pricing plans at any time. Employers are encouraged to review the current pricing and terms regularly, as rates may be updated periodically to reflect market conditions, service enhancements, or operational adjustments.
Employers are responsible for maintaining accurate billing information and settling invoices promptly
6. Worker Payments & Employment Contracts
Employers agree not to:
- Create multiple or duplicate accounts without approval.
- Post jobs that violate Philippine labor laws or contain false or misleading information.
- Solicit job seekers for non-employment purposes, such as marketing schemes or illegal recruitment.
- Share or transfer account access to unauthorized persons.
Violations may result in immediate suspension or permanent termination of your account without prior notice.
7. Responsibilities of Happee Antz
Happee Antz is committed to maintaining a reliable, transparent, and secure job platform that bridges employers and job seekers effectively. While the platform operates as an intermediary and not as an employment agency, Happee Antz assumes specific responsibilities to ensure fairness, compliance, and quality of service for all users.
- Platform Maintenance and Accessibility
Happee Antz is responsible for providing and maintaining a functional, accessible, and secure online platform that allows users to post jobs, apply for positions, and communicate effectively. Regular updates, security enhancements, and technical improvements are implemented to ensure smooth platform performance and data protection.
- Verification and Compliance
Happee Antz conducts verification and background reviews of employer accounts to confirm legitimacy and authenticity. This process includes validating submitted business documents, job postings, and other related credentials to help safeguard job seekers from fraudulent or misleading listings. Similarly, Happee Antz may verify the identity of job seekers through valid government-issued identification to maintain trust and transparency across the platform.
- Content Review and Approval
All job postings submitted by employers are reviewed by Happee Antz to ensure compliance with the platform’s policies, labor standards, and applicable laws. The platform reserves the right to edit, approve, or reject job listings that are incomplete, inaccurate, misleading, or in violation of our Terms of Use.
- Data Privacy and Security
Happee Antz upholds the principles of the Data Privacy Act of 2012 (Republic Act No. 10173) and ensures that all collected personal and business information is stored securely and used solely for recruitment and verification purposes. The platform employs reasonable administrative, technical, and physical safeguards to protect user data from unauthorized access or misuse.
- User Support and Dispute Handling
Happee Antz provides user assistance through its customer support and business relations team to address inquiries, technical issues, and platform-related concerns. While Happee Antz does not mediate or influence hiring decisions, the platform may assist in clarifying disputes arising from account usage, billing issues, or reported violations of the Terms of Use.
- Transparency and Fair Use Enforcement
The platform is responsible for enforcing compliance with its policies and ensuring fair use by all registered users. Happee Antz reserves the right to suspend, restrict, or terminate accounts found to be engaged in fraudulent, unethical, or illegal activity.
- Continuous Improvement
Happee Antz is dedicated to improving user experience by developing innovative recruitment tools, training services, and system enhancements that help both job seekers and employers achieve successful and efficient hiring outcomes.
- Onboarding Acknowledgment
Happee Antz, through its Client Success Manager, has provided full assistance to the Employer in account creation and website onboarding. By signing this Agreement, the Employer acknowledges that they have been properly guided on how to use the platform and its services and that they fully understand and agree to the billing and payment policies stated herein.
8. RESPONSIBILITIES OF THE EMPLOYER POST ACCOUNT CREATION AND POSTING
- Recruitment Management Obligations
The Employer acknowledges and agrees that it shall have the sole and exclusive responsibility for managing all recruitment-related activities conducted through the Happee Antz Job Platform. Such responsibilities include, but are not limited to:
- regularly monitoring and reviewing the Application Tracking System (“ATS”) for submitted applications;
- scheduling and conducting interviews;
- making hiring or rejection decisions;
- onboarding selected applicants; and
- preparing and executing any employment or contractual agreements with accepted applicants.
- Maintenance of Job Postings
The Employer shall ensure that all job postings on the Platform accurately reflect current hiring needs. The Employer is obligated to close or deactivate job postings that are no longer active or have been filled.
Happee Antz reserves the right, at its sole discretion, to deactivate or suspend any job posting that remains inactive for a continuous period of at least one (1) month. Such action shall not give rise to any claim or liability against Happee Antz.
- Applicant Status Updates
The Employer shall bear full responsibility for updating the status of job seekers within the Platform, including but not limited to the acceptance or rejection of applicants.
The Employer further agrees to update Happee Antz regarding any accepted applicant within seven (7) days from the date of hire. Failure to comply with this reporting requirement may result in the temporary suspension of the Employer’s account until such updates are completed.
- Data Accuracy and Cooperation
The Employer acknowledges that compliance with the foregoing obligations contributes to the maintenance of accurate platform data and supports Happee Antz’s ongoing efforts to enhance website functionality, service quality, and recruitment analytics. The Employer agrees to cooperate fully with Happee Antz in all reasonable data validation or service improvement initiatives.
- Accuracy and Truthfulness of Information
Employers are required to provide complete, accurate, and up-to-date company and job information at all times. This includes business registration details, contact information, job descriptions, salary ranges, and other relevant data necessary to ensure transparency and fairness in recruitment. Misrepresentation of information or posting of misleading job advertisements is strictly prohibited.
- Legitimacy of Job Postings
Employers must ensure that all job postings represent genuine employment opportunities that comply with Philippine labor laws and ethical employment practices. Jobs involving illegal activities, pyramid schemes, misleading compensation terms, or any form of exploitation are not permitted on the platform.
- Compliance with Verification Requirements
Employers must complete the account verification process by submitting valid business documents such as DTI/SEC registration, business permit, or tax identification number (TIN). The verification process may take up to 24 hours upon receipt of all necessary documents. Failure to comply may result in the delay, suspension, or denial of account approval.
- Fair and Ethical Hiring Practices
Employers are expected to conduct fair, nondiscriminatory, and lawful recruitment practices. This includes ensuring that all applicants are evaluated based on merit, qualifications, and suitability for the role, without bias based on gender, age, ethnicity, religion, or socioeconomic background.
- Protection of Candidate Information
Employers are entrusted with access to the personal information of job seekers and must treat such data with strict confidentiality. Any use, storage, or sharing of candidate data must comply with the Data Privacy Act of 2012 and may only be used for legitimate hiring purposes. Unauthorized disclosure or misuse of candidate data is a direct violation of this Agreement.
- Authorized Account Access
Employers are responsible for ensuring that only authorized personnel within their company have access to their Happee Antz account. Sharing login credentials, granting access to third parties, or using another company’s account is strictly prohibited. The employer shall be held accountable for any activity or misuse under their account credentials.
- Timely Communication and Response
Employers are expected to maintain open and timely communication with job seekers who apply for their postings. This includes responding to qualified applicants, scheduling interviews, and updating candidates on their application status whenever practicable.
- Payment Obligations
Employers agree to settle all applicable fees or charges related to job postings, premium services, or RPO (Recruitment Process Outsourcing) engagements in accordance with Happee Antz’s pricing structure. Non-payment or delay in payment may result in suspension or limitation of access to the platform’s services.
- Prohibition of Unauthorized Activities
Employers must not use the Happee Antz platform for any purpose other than lawful recruitment. Activities such as solicitation, phishing, data scraping, marketing, or recruitment for third-party entities without authorization are strictly prohibited.
- Accountability for Conduct
Employers bear full responsibility for the conduct of their representatives using the platform. Any misuse, abuse, or violation of these Terms of Use may result in account suspension, termination, or permanent ban from Happee Antz, without prior notice.
9. Data Privacy and Confidentiality
Happee Antz is firmly committed to protecting the privacy, confidentiality, and security of all personal, professional, and business information collected through its platform. All data provided by Employers and Job Seekers shall be handled in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations.
By using the Happee Antz platform, the Employer expressly consents to the collection, processing, storage, and use of personal and business data as necessary to deliver platform services, facilitate recruitment transactions, verify identities, process payments, and improve system functionality. Such data may include, but are not limited to, contact details, billing information, company credentials, and recruitment activity logs.
Happee Antz guarantees that all collected information will be used solely for legitimate business purposes and will not be sold, distributed, or shared with any unauthorized third party without the Employer’s prior consent, except when required by law, regulation, or lawful order of a competent authority.
Both Happee Antz and the Employer agree to maintain strict confidentiality of all shared information, trade secrets, and proprietary materials accessed through the platform. The Employer likewise acknowledges their responsibility to safeguard login credentials, account access, and applicant data from unauthorized use or disclosure.
In the event of a data breach or security compromise, Happee Antz shall promptly notify affected parties and implement appropriate corrective and preventive measures in accordance with the Data Privacy Act and National Privacy Commission guidelines.

10. Payment Terms and Non-Refund Policy
All payments made by Employers for successful hires facilitated through the Happee Antz platform are deemed final and non-refundable, except in verified instances of billing discrepancies, duplicate charges, or proven system errors duly acknowledged by Happee Antz.
Employers expressly acknowledge and agree that all payment details provided — including but not limited to GCash account information, credit card, or debit card details — must be accurate, valid, and current at the time of payment. The Employer bears full responsibility for maintaining the accuracy of such billing information and for ensuring sufficient funds are available to process the transaction successfully.
Happee Antz reserves the right, at its sole discretion, to withhold, suspend, or restrict access to any premium service or job posting feature pending confirmation or validation of payment. In the event of unsuccessful or invalid payment attempts, the corresponding services shall remain inactive until the payment issue is fully resolved.
All confirmed payments signify the Employer’s understanding and acceptance of these payment terms and the services rendered.
11. Limitation of Liability
Happee Antz provides its job portal and related recruitment services on an “as is” and “as available” basis, without any warranties or representations of any kind, whether express or implied. While the platform is designed to facilitate efficient connections between employers and job seekers, Happee Antz does not warrant or guarantee that the use of the platform will lead to successful hires, continuous availability, uninterrupted operation, or error-free performance.
Employers acknowledge that all hiring decisions, including but not limited to candidate selection, interview scheduling, offer issuance, and onboarding, are made solely at the discretion and responsibility of the employer. Accordingly, Happee Antz shall not be held liable for any losses, damages, claims, or disputes resulting from or connected to:
- Hiring decisions made by employers or actions taken by job seekers;
- Misrepresentation, inaccuracy, or falsification of information by users;
- The quality, reliability, or conduct of job seekers, employers, or third parties using the platform;
- Service interruptions, technical errors, or data loss beyond Happee Antz’s reasonable control.
Under no circumstance shall Happee Antz, its affiliates, officers, employees, or partners be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or reputation, arising out of or in connection with the use or inability to use the platform, even if Happee Antz has been advised of the possibility of such damages.
By continuing to use the platform, the employer expressly agrees that Happee Antz’s total aggregate liability, if any, shall not exceed the total amount paid by the employer for the use of paid services within the three (3) months preceding the incident that gave rise to the claim.
12. Indemnification
The Employer agrees to indemnify, defend, and hold harmless Happee Antz, its parent company, affiliates, officers, directors, employees, and authorized representatives from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorney’s fees and legal costs) arising out of or related to:
- The Employer’s use or misuse of the Happee Antz platform or services;
- Any breach or violation of these Terms of Use or any applicable law, regulation, or third-party rights.
- Employment practices or decisions made solely by the Employer, including but not limited to hiring, termination, compensation, or workplace disputes;
- Inaccurate, false, or misleading information provided by the Employer, its agents, or representatives on the platform; and
- Unauthorized access or misuse of an account, whether by the Employer, its employees, or any third party granted access to the Employer’s account.
Happee Antz reserves the right, at its sole discretion and expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by the Employer. In such cases, the Employer agrees to fully cooperate with Happee Antz in asserting any available defenses.
This indemnification obligation shall survive the termination, suspension, or expiration of the Employer’s account or this Agreement.
13. Force Majeure
Happee Antz shall not be held liable or responsible for any delay, interruption, or failure to perform any of its obligations under this Agreement if such delay or failure results from events beyond its reasonable control. Such events include, but are not limited to, acts of God, natural disasters (such as typhoons, floods, earthquakes, fires, or pandemics), acts of government or regulatory authorities, wars, rebellions, civil disturbances, strikes, labor disputes, internet or telecommunication failures, power outages, or any other event that renders performance commercially impracticable or impossible.
During the continuance of a Force Majeure event, Happee Antz’s obligations shall be suspended for the duration of such event. Happee Antz shall make reasonable efforts to resume normal operations and performance as soon as practicable once the event has ceased.
If a Force Majeure event continues for a period exceeding sixty (60) days, either party may elect to terminate the affected services upon written notice to the other, without incurring any liability for such termination.
The Employer acknowledges that Force Majeure events are unpredictable and outside the control of Happee Antz, and therefore releases Happee Antz from any claim, loss, or damage arising directly or indirectly from such events.
14. Account Suspension and Termination
Happee Antz reserves the absolute right, at its sole discretion, to suspend, restrict, or permanently terminate an Employer’s account in the event of any breach of this Agreement, fraudulent activity, provision of false or misleading information, or any form of misuse or abuse of the platform and its services. Such actions may be taken without prior notice if deemed necessary to protect the integrity of the platform, its users, or the general public.
Employers who wish to contest or appeal a termination decision may do so by submitting a formal written appeal to
businessrelations@happeeantz.info, with the subject line “Account Appeal.” The appeal must include the Employer’s account details, a detailed explanation of the circumstances, and any supporting evidence or documentation relevant to the case.
Happee Antz will conduct a thorough review and investigation of the appeal and may, at its discretion, reinstate the account if sufficient grounds are found. However, all decisions rendered by Happee Antz following its investigation shall be final, binding, and irrevocable, and no further appeals shall be entertained thereafter.
15. Account Termination by Employer
An Employer may choose to terminate or deactivate their account with Happee Antz at any time by submitting a written request through the platform or by contacting
businessrelations@happeeantz.info with the subject line “Account Termination Request.” Upon receipt and verification of the request, Happee Antz will process the termination within a reasonable timeframe.
Termination of an account does not entitle the Employer to any form of refund or credit for unused job postings, subscriptions, or remaining service periods unless expressly approved by Happee Antz under verified billing error circumstances. All obligations and liabilities incurred by the Employer prior to the termination date shall remain valid and enforceable.
Upon termination, the Employer’s access to premium features, applicant tracking, and communication tools will be immediately revoked. Happee Antz reserves the right to retain anonymized data or records related to the Employer’s activity on the platform for legal compliance, audit purposes, and service improvement, in accordance with applicable data privacy laws.
Employers are encouraged to download or back up any essential records, such as applicant details or transaction history, prior to account termination, as Happee Antz shall not be held responsible for any data loss following deactivation.
16. Confidentiality and Non-Disclosure
Both Happee Antz and the Employer acknowledge that, during the course of their engagement and use of the platform, they may gain access to certain confidential, proprietary, or sensitive information belonging to the other party. Such information may include, but is not limited to, business strategies, operational processes, pricing structures, recruitment methods, system frameworks, trade secrets, and any data not generally known to the public.
The Employer agrees to maintain the strict confidentiality of all proprietary information disclosed by Happee Antz, whether in written, verbal, or digital form. This includes, but is not limited to, any technical documentation, onboarding materials, business correspondence, system access credentials, or training resources provided during the course of engagement. Such information may be used solely for legitimate purposes directly related to the Employer’s use of the Happee Antz platform and shall not be reproduced, shared, or distributed to any third party without prior written consent from Happee Antz.
Similarly, Happee Antz shall treat all Employer-provided business information and materials as confidential and will not disclose them to third parties, except as required by law or as necessary to perform legitimate platform functions such as recruitment processing, verification, or customer support.
The confidentiality obligations set forth in this section shall survive the termination or expiration of this Agreement and remain in effect for a period of three (3) years thereafter, unless otherwise required by law.
Any breach of confidentiality by either party may result in immediate termination of account access and may subject the breaching party to legal and financial liabilities, including damages and injunctive relief.
17. Intellectual Property Rights
All intellectual property rights related to the Happee Antz platform, including but not limited to its website design, trademarks, service marks, trade names, logos, graphics, software systems, proprietary algorithms, text content, training materials, and digital assets, are and shall remain the exclusive property of Happee Antz Web Portal Services. and its affiliates.
Nothing in this Agreement shall be construed as granting the Employer any ownership rights, license, or entitlement to use any portion of Happee Antz’s intellectual property except for the limited, non-exclusive, non-transferable, and revocable right to access and use the platform strictly in accordance with the Terms of Use.
Employers are expressly prohibited from copying, reproducing, modifying, reselling, distributing, reverse-engineering, or creating derivative works from any portion of the platform or its materials without the prior written consent of Happee Antz. Any unauthorized use of intellectual property or breach of this clause shall constitute a violation of applicable copyright, trademark, and intellectual property laws, and may subject the Employer to civil and criminal liability under Philippine and international law.
Employers retain ownership of all job postings, company profiles, and original content they upload to the platform; however, by submitting such content, the Employer grants Happee Antz a worldwide, royalty-free, and perpetual license to use, host, display, and reproduce such materials for the purpose of operating, promoting, and improving the platform’s services.
Happee Antz reserves the right to remove, suspend, or modify any content that violates intellectual property laws, infringes upon third-party rights, or breaches the provisions of this Agreement.
18. Representations and Warranties
By accessing and using the Happee Antz platform, the Employer represents and warrants that:
- All information provided during account registration, verification, and job posting is true, accurate, complete, and up to date to the best of their knowledge.
- The Employer is a legally recognized business entity or authorized representative duly empowered to enter into this Agreement and engage in lawful hiring activities.
- All job postings, employment offers, and recruitment activities conducted through the platform comply with applicable labor, tax, and employment laws of the Republic of the Philippines and any other relevant jurisdiction.
- The Employer shall not post misleading, discriminatory, or unlawful content, nor engage in fraudulent or unethical hiring practices.
- The Employer acknowledges full responsibility for all hiring decisions, job offers, and employment relationships established through the platform, and understands that Happee Antz acts solely as an intermediary and not as an employer, recruiter, or labor contractor.
- The Employer’s use of the platform shall not infringe upon or violate the intellectual property, privacy, or contractual rights of any third party.
Happee Antz, on its part, represents and warrants that it:
- Operates the platform in good faith and with reasonable technical, administrative, and organizational measures to ensure data protection, platform security, and reliable functionality.
- Makes all reasonable efforts to maintain an accessible, secure, and user-friendly digital environment for Employers and Job Seekers alike.
- Provides support and assistance to Employers through its Client Success Managers and help channels to ensure proper onboarding, use of services, and understanding of system processes.
However, Happee Antz makes no warranties or guarantees, express or implied, regarding the number, quality, or suitability of applicants, nor the outcome of recruitment activities conducted through the platform. Employers acknowledge that hiring results depend entirely on their discretion and selection process.
19. Amendments and Modifications
Happee Antz reserves the exclusive right to amend, revise, update, or modify these Terms of Use, in whole or in part, at any time and at its sole discretion. Any such changes may be made to reflect updates in company policies, technological advancements, changes in applicable laws and regulations, or to enhance the overall quality and integrity of the platform’s services.
All revisions shall take effect immediately upon posting on the official Happee Antz website or upon issuance of a public notice through any of the company’s official communication channels, unless otherwise stated. Employers are encouraged to regularly review the Terms of Use to remain informed of any modifications that may affect their rights or obligations under this Agreement.
By continuing to access or use the Happee Antz platform after the publication or notification of revised terms, the Employer is deemed to have read, understood, and agreed to be legally bound by the updated version of the Terms of Use. If an Employer does not agree with any part of the revised terms, their sole remedy is to discontinue use of the platform and terminate their account in accordance with the applicable termination provisions herein.
20. Governing Law and Jurisdiction
This Agreement, including all matters arising from or related to the use of the Happee Antz platform, shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, the Parties agree to first seek amicable resolution through good faith negotiations. Should such efforts fail, the dispute shall be submitted exclusively to the proper courts of Tanza City, Cavite , to the exclusion of all other venues.
Employers and users of the platform expressly consent to the jurisdiction and venue of these courts and waive any objection on the grounds of improper venue or forum non convenience.
Nothing in this clause shall prevent Happee Antz from seeking injunctive or equitable relief in any court of competent jurisdiction should it deem such action necessary to protect its rights, intellectual property, or the integrity of the platform.
21. Severability and Entire Agreement
If any provision, clause, or part of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified or severed to the extent necessary to make it valid and enforceable, without affecting the validity or enforceability of the remaining provisions. The remaining terms shall continue in full force and effect.
This Agreement, together with all other referenced policies, notices, and guidelines published by Happee Antz—including but not limited to the Privacy Policy, Billing Policy, and Job Posting Guidelines—constitutes the entire understanding between Happee Antz and the Employer regarding the use of the platform and its services.
Any prior discussions, representations, promises, or agreements, whether written or oral, not expressly included herein shall be deemed superseded and without legal effect. No amendment, modification, or waiver of any provision of this Agreement shall be valid unless made in writing and duly authorized by Happee Antz.
22. Notices and Communications
All official communications, notices, or correspondence required or permitted under this Agreement shall be made in writing and delivered through the following methods:
- By Happee Antz:
Notices shall be sent via the registered email address of the Employer, posted on the Happee Antz website, or delivered through the Employer’s dashboard or messaging system within the platform. Any such communication shall be deemed received immediately upon transmission if sent electronically, or within twenty-four (24) hours if posted on the platform.
- By the Employer:
All notices, questions, or concerns related to this Agreement or to the use of the platform shall be directed to: businessrelations@happeeantz.info with the appropriate subject line (e.g., “Account Appeal,” “Billing Concern,” “Policy Inquiry”).
Employers are responsible for maintaining an active and up-to-date email address in their Happee Antz account to ensure receipt of important communications. Happee Antz shall not be held liable for any failure to receive notices resulting from outdated contact information, spam filters, or user inattention.
All communications made through the Happee Antz platform are considered legally binding and carry the same effect as written documents executed in physical form
23. Acknowledgment and Acceptance
By creating an Employer Account and using the Happee Antz Job Platform, you hereby acknowledge that you have read, understood, and agreed to be bound by all the terms, conditions, and policies contained in this Terms of Use Agreement.
You further acknowledge that:
- You have been properly guided by a Happee Antz Client Success Manager during your onboarding process, including an explanation of how to use the website, its features, and its billing policies;
- You have had the opportunity to review the provisions of this Agreement and to seek clarification on any section that may affect your rights or obligations;
- You understand that your continued use of the Happee Antz platform constitutes ongoing acceptance of any future amendments, updates, or modifications to these Terms of Use; and
- You agree that all activities performed under your registered account shall be your sole responsibility and shall be deemed actions taken by you or your authorized representatives.
By signing or clicking “I Agree,” you voluntarily and knowingly enter into this Agreement with Happee Antz, signifying your consent to comply with its terms and to conduct all transactions and communications electronically in accordance with applicable laws.
